Terms and Conditions of Using BuzzVue

Introduction

These terms and conditions govern your use of BuzzVue, including our website, app, platform, and related services (together, the Platform).

By accessing or using BuzzVue, you confirm that you accept these terms and agree to comply with them. If you do not agree to these terms, you must not use the Platform.

3. Changes to These Terms

Every time you use the Platform, please check these terms to ensure you understand the terms that apply at that time. Your continued use of the Platform after any changes take effect will constitute your acceptance of the updated terms.

4. Changes to the Platform

We may update, change, suspend, withdraw, discontinue, or restrict the availability of all or any part of the Platform from time to time to reflect changes to our services, users’ needs, legal or regulatory requirements, or our business priorities.

We do not guarantee that the Platform, or any content on it, will always be available, uninterrupted, or error-free.

5. About BuzzVue

BuzzVue is a platform that enables users to create profiles, share information, upload content, post opportunities, express business needs or offers, connect with other users, and explore potential collaborations, introductions, commercial relationships, and other business opportunities.

BuzzVue may include features such as profiles, cards, opportunities, messages, business information, video content, matching tools, introductions, and other communication or discovery features.

BuzzVue provides the Platform only. We are not a broker, agent, adviser, recruiter, introducer with responsibility for outcomes, investment intermediary, lender, escrow provider, or party to any arrangement made between users.

6. No Vetting, No Endorsement, No Guarantee

BuzzVue does not routinely verify, vet, endorse, investigate, monitor, or guarantee:

  • the identity of any user;
  • the truth, accuracy, completeness, or legality of any content;
  • whether any user, business, opportunity, offer, service, product, skill, introduction, or proposal is genuine;
  • the quality, suitability, safety, reliability, creditworthiness, ownership, authority, legal compliance, or financial standing of any user or business;
  • that any user will perform what they say they will perform;
  • that any collaboration, introduction, transaction, arrangement, investment, partnership, service exchange, equity deal, revenue share, or other opportunity will be successful, lawful, suitable, or safe.

Any connection, communication, introduction, negotiation, collaboration, transaction, agreement, or relationship entered into through BuzzVue is done entirely at your own risk.

You are solely responsible for carrying out your own due diligence, checks, legal review, financial review, background research, and commercial assessment before entering into any discussion, sharing confidential information, making payment, exchanging services, granting equity, agreeing revenue share, shipping goods, signing documents, or proceeding with any arrangement.

7. User Responsibility

You acknowledge and agree that:

  • you are solely responsible for your decisions, actions, communications, and dealings with other users;
  • you must use your own judgment before relying on any profile, card, message, opportunity, statement, introduction, or content on the Platform;
  • you are solely responsible for negotiating, documenting, and enforcing any agreement you make with another user;
  • if you choose to proceed with any deal, collaboration, trade, introduction, service exchange, investment discussion, equity arrangement, or revenue-sharing agreement, you do so at your own risk.

BuzzVue strongly recommends that users obtain independent legal, financial, tax, and professional advice where appropriate.

8. Eligibility and Accounts

You must be at least 18 years old to use BuzzVue.

If you use BuzzVue on behalf of a company, organisation, or other entity, you confirm that you have authority to bind that entity to these terms.

You must ensure that all information you provide to us is accurate, complete, and up to date.

You must keep your login credentials secure and confidential. You are responsible for all activity carried out under your account.

If you know or suspect that anyone other than you knows your login details, you must notify us promptly at hello@buzzvue.io.

We may suspend, restrict, or terminate your account if we reasonably believe that:

  • you have breached these terms;
  • your account is misleading, false, fraudulent, abusive, or unlawful;
  • your conduct may expose us, other users, or third parties to risk, harm, or liability.

9. Subscription and Paid Services

Certain features of BuzzVue may require payment of subscription fees or other charges.

Where fees apply, you agree to pay all applicable charges in accordance with the pricing presented to you at the time of purchase.

Unless stated otherwise:

  • subscriptions may renew automatically;
  • fees are payable in advance;
  • payments are non-refundable except where required by law or expressly stated otherwise.

We may change our pricing from time to time. Any changes will apply from the next billing cycle unless otherwise stated.

If payment fails or your subscription ends, we may suspend or restrict access to paid features.

10. Content on the Platform

The Platform may contain profiles, messages, opportunities, cards, videos, comments, descriptions, images, links, documents, and other materials uploaded or posted by users.

The views expressed by users on the Platform do not represent the views, opinions, or values of BuzzVue.

Content on the Platform is provided for general information and connection purposes only. It is not intended to amount to advice, recommendation, endorsement, verification, or guarantee.

You must not rely on any content on BuzzVue without carrying out your own independent checks.

11. Confidentiality and Sensitive Information

BuzzVue is a networking and opportunity platform. Unless expressly stated otherwise, content and communications shared through the Platform may not be confidential.

You are responsible for deciding what information you upload, publish, share, or disclose to other users.

If confidentiality is important, you should not share sensitive, commercially valuable, personal, or proprietary information unless and until you have put appropriate protections in place, such as a non-disclosure agreement or other suitable contractual protections.

BuzzVue is not responsible for any loss arising from your decision to share information with other users.

12. User Content

Whenever you upload, post, submit, send, publish, or share content on or through BuzzVue, including profile information, opportunity details, messages, videos, text, images, logos, or other materials ("User Content"), you confirm that:

  • you own that content or have all necessary rights, licences, permissions, and consents to use and share it;
  • your User Content is accurate where it states facts;
  • your User Content does not infringe any third-party rights;
  • your User Content complies with these terms and all applicable laws.

You remain the owner of your User Content.

However, by uploading or sharing User Content through BuzzVue, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, reproduce, display, distribute, adapt, and use that User Content to:

  • operate, provide, maintain, and improve the Platform;
  • make your content available to other users in accordance with the functionality of the Platform;
  • promote and market BuzzVue, including through social media, advertising, promotional materials, case studies, and platform-related publicity.

This may include use of your company name, brand name, profile name, logos, screenshots, videos, and extracts of content you upload, unless agreed otherwise in writing.

13. Our Intellectual Property

We are the owner or licensee of all intellectual property rights in the Platform and in the material published by us on it. Those works are protected by copyright, trade mark, database, and other intellectual property laws. All rights are reserved.

You may not copy, reproduce, distribute, modify, create derivative works from, commercially exploit, scrape, republish, or otherwise use any part of the Platform or our content except as permitted by law or with our prior written consent.

Nothing in these terms gives you any right to use any of our trade marks, names, branding, logos, or other brand features without our prior written permission.

14. Acceptable Use

You may use BuzzVue only for lawful purposes.

You must not use the Platform:

  • in any way that breaches any applicable law or regulation;
  • for any unlawful, misleading, fraudulent, deceptive, or harmful purpose;
  • to impersonate any person or misrepresent your identity, authority, affiliation, or business;
  • to post false, misleading, or deceptive opportunities or claims;
  • to harass, abuse, threaten, intimidate, bully, or exploit any person;
  • to upload or share defamatory, obscene, offensive, hateful, discriminatory, violent, or inflammatory material;
  • to post content that infringes another person’s intellectual property, privacy, confidentiality, or other rights;
  • to send spam, unsolicited promotions, or unauthorised advertising;
  • to upload malicious code, viruses, or harmful material;
  • to interfere with, damage, or disrupt the Platform or any network or system used in connection with it;
  • to harvest, scrape, or collect data from the Platform without authority;
  • to use the Platform in a way that suggests BuzzVue has approved, endorsed, guaranteed, or verified you, your profile, your business, or your offer where this is not expressly stated by us.

15. Content Standards

Any content you upload or share through BuzzVue must:

  • be accurate where it states facts;
  • be genuinely held where it states opinions;
  • comply with the laws of England and Wales and any country from which it is posted.

Content must not:

  • be false, misleading, or deceptive;
  • be defamatory;
  • be obscene, offensive, hateful, inflammatory, or abusive;
  • promote discrimination, violence, or illegal activity;
  • infringe any copyright, trade mark, database right, confidentiality obligation, or other right of any person;
  • contain malicious software or code;
  • give the impression that it comes from BuzzVue if that is not the case.

We may remove, restrict, or disable access to any content that we believe breaches these terms or may expose us or others to risk.

16. Messaging, Matches, and Off-Platform Dealings

BuzzVue may allow users to connect, message, match, or otherwise interact with one another.

BuzzVue does not guarantee that any match, introduction, conversation, or connection will lead to any outcome.

BuzzVue is not responsible for:

  • the conduct of any user;
  • the content of any message or communication between users;
  • whether any user responds, performs, pays, delivers, completes, or acts honestly;
  • any agreement, dispute, loss, damage, misrepresentation, failed deal, non-payment, infringement, or harm arising from user interactions;
  • any dealings that continue outside the Platform.

BuzzVue is not a party to any arrangement entered into between users and has no responsibility to mediate, enforce, recover, guarantee, insure, or underwrite any transaction or relationship.

17. Links and Third-Party Content

Where the Platform contains links to third-party websites, services, or resources, these are provided for convenience only.

Such links should not be interpreted as approval, endorsement, or verification by BuzzVue.

We have no control over third-party sites or content and accept no responsibility for them.

18. Suspension and Termination

We may suspend, restrict, or terminate your access to all or any part of the Platform at any time, with or without notice, if we reasonably believe that:

  • you have breached these terms;
  • you have created risk or possible legal exposure for us or other users;
  • it is necessary for operational, legal, regulatory, or security reasons.

We may also remove content, disable accounts, cancel matches, or investigate conduct where we reasonably consider it appropriate.

If your account is terminated, your right to use the Platform will cease immediately.

19. Our Responsibility for Loss or Damage

Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for:

  • death or personal injury caused by our negligence;
  • fraud or fraudulent misrepresentation;
  • any other liability which cannot be excluded or limited under applicable law.

Subject to the above, BuzzVue shall not be liable for any loss or damage arising out of or in connection with:

  • your use of, or inability to use, the Platform;
  • your reliance on any content, profile, message, opportunity, or statement on the Platform;
  • any interaction, communication, introduction, arrangement, collaboration, dispute, or transaction between users;
  • any act, omission, fraud, dishonesty, negligence, misrepresentation, or breach by another user or third party;
  • any loss of profits, revenue, business, opportunity, reputation, data, goodwill, anticipated savings, or any indirect or consequential loss.

BuzzVue provides the Platform on an "as is" and "as available" basis and makes no representation or warranty that the Platform will be secure, uninterrupted, accurate, complete, or fit for any particular purpose.

20. Security and Viruses

We do not guarantee that the Platform will be secure or free from bugs or viruses.

You are responsible for using appropriate security software and for configuring your technology to access the Platform safely.

You must not knowingly introduce viruses, trojans, worms, logic bombs, or other malicious or technologically harmful material.

You must not attempt to gain unauthorised access to the Platform, the server on which it is stored, or any server, system, computer, or database connected to it.

21. Personal Information

We will only use your personal information as set out in our Privacy Policy.

22. Complaints and Reporting

If you wish to complain about content, report a user, or raise a concern about misuse of the Platform, please contact us at hello@buzzvue.io.

We may investigate reports but are not obliged to monitor all activity, communications, or content on the Platform.

23. Transfer of Rights

We may transfer our rights and obligations under these terms to another organisation. If we do so, we will take reasonable steps to ensure that the transfer does not adversely affect your rights under these terms.

24. Severability

If any provision of these terms is found by a court or other competent authority to be unlawful, invalid, or unenforceable, that provision shall be deemed deleted and the remaining provisions shall continue in full force and effect.

25. Governing Law and Jurisdiction

These terms, their subject matter, and their formation, and any non-contractual disputes or claims, are governed by the law of England and Wales.

You and we both agree that the courts of England and Wales shall have exclusive jurisdiction.
